1. Acceptance of Terms

By accessing or using Eclipse Scheduling ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

These Terms apply to all visitors, users, and others who access or use the Platform, including language service providers, administrators, service providers (linguists), and customers.

2. Description of Service

Eclipse Scheduling is a software-as-a-service (SaaS) platform designed for managing language and accessibility services. The Platform provides tools for:

• Scheduling and coordinating language service appointments
• Managing linguist and service provider credentials
• Processing billing and payments
• Generating reports and analytics
• Facilitating communication between stakeholders

3. User Accounts

To access certain features of the Platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and accept all risks of unauthorized access
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

4. Subscription and Payments

Access to the Platform requires a paid subscription. By subscribing, you agree to:

• Pay all fees associated with your selected subscription plan
• Provide valid payment information and authorize automatic billing
• Accept that subscription fees are non-refundable except as required by law
• Acknowledge that prices may change with 30 days advance notice

5. Acceptable Use

You agree not to use the Platform to:

• Violate any applicable laws, regulations, or third-party rights
• Upload or transmit viruses, malware, or other malicious code
• Interfere with or disrupt the Platform or its infrastructure
• Attempt to gain unauthorized access to any systems or networks
• Collect or harvest personal information of other users
• Use the Platform for any fraudulent or deceptive purposes

6. Intellectual Property

The Platform and its original content, features, and functionality are owned by Eclipse Scheduling and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any data you upload to the Platform. By uploading data, you grant us a limited license to use, store, and process that data solely to provide the Platform services.

7. Data Protection and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

For customers in healthcare, legal, or educational sectors, we support applicable regulations including HIPAA and provide FERPA-ready capabilities along with other industry-specific requirements.

8. Service Level Agreement

Eclipse Scheduling commits to:

• 99% platform uptime (excluding scheduled maintenance)
• Regular security updates and vulnerability patching
• Data backup and disaster recovery procedures
• Responsive customer support during business hours

9. Limitation of Liability

To the maximum extent permitted by law, Eclipse Scheduling shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill.

Our total liability for any claims arising from your use of the Platform shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Eclipse Scheduling and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Platform or violation of these Terms.

11. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice, for conduct that we believe:

• Violates these Terms or applicable laws
• Is harmful to other users, third parties, or our business interests
• Constitutes fraudulent or illegal activity

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Marion County, Oregon.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after such changes constitutes acceptance of the new Terms.
